Software End User License Agreement (EULA)

GENERAL
All intellectual property rights in the software belong to Advanced Soundware Inc. (hereinafter called "ASI") and its suppliers. ASI permits you only to copy, download, install and use the software in accordance with the terms and conditions of this Agreement. The product may contain product activation for protection against unlawful copying which permits a permanent use of the software only after the activation process has been totally completed. Internet access is required for the activation process and personal product registration. Download sales are final. ASI does not issue product refunds or cancel any contract for services connected to a download purchase once a download has been completed.
1. License Grant
- ASI hereby grants to Licensee a non-exclusive, non-transferable license to use the Software on a single computer at a single location, subject to the terms and conditions of this Agreement.
2. Restrictions
- Licensee shall not:
- Sublicense, lease, rent, loan, or otherwise transfer the Software to any third party.
- Use the Software on a network where multiple users can access it.
- Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software.
- Modify or create derivative works of the Software, except as expressly permitted by this Agreement.
3. Intellectual Property Rights
- Licensee acknowledges that the Software is the proprietary property of ASI and its suppliers, and is protected by copyright laws and international treaties. Licensee agrees to abide by all such laws and treaties.
4. Activation and Use
- Licensee shall activate the Software upon installation and register the product with ASI. Support, upgrades, and updates shall be available to Licensee upon registration, subject to limitations for educational and NFR licenses.
5. Modification of Software
- Licensee may only modify the Software as permitted by its intended function. Licensee shall not decompile, disassemble, reverse engineer, or modify the binary code of the Software in any way.
6. Warranties
- ASI warrants that the Software will perform substantially in accordance with its accompanying documentation for a period of one year from the date of purchase. This warranty is void if the Software is modified in any way not expressly authorized by ASI.
7. Limitations of Liability
- ASI shall not be liable for any damages, including direct, indirect, incidental, consequential, or punitive damages, arising out of the use or inability to use the Software.
8. Indemnification
- Licensee shall indemnify and hold ASI harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Licensee's use of the Software.
9. Termination
- This Agreement shall terminate automatically if Licensee breaches any of its terms. ASI may also terminate this Agreement at any time upon written notice to Licensee.
10. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
11. Jurisdiction
- The parties hereby agree to submit to the exclusive jurisdiction of the courts located in Los Angeles County, California, for the resolution of any disputes arising out of or related to this Agreement.
12. Entire Agreement
- This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13. Waiver
- No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
14. Severability
- If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
15. Acknowledgement
- By clicking "I Agree" or installing the Software, Licensee acknowledges that it has read and understands this Agreement and agrees to be bound by its terms.
